Project Terms and Payment
All project specifications, timelines, and costs will be outlined in a separate project proposal or contract. Payment terms are as follows:
- Projects require an initial deposit before work commences
- Milestone-based payments as agreed in the project contract
- Final payment upon project completion and client approval
- Late payment fees may apply as specified in individual contracts
- All prices are exclusive of applicable taxes unless stated otherwise
Client Responsibilities
To ensure successful project delivery, clients are responsible for:
- Providing accurate and complete project requirements
- Supplying necessary content, images, and materials in a timely manner
- Timely feedback and approval of deliverables
- Making payments according to agreed schedules
- Providing access to necessary systems, accounts, or platforms
Intellectual Property Rights
Upon full payment, clients will own the custom code and designs created specifically for their project. However, TurtleSoft Solutions retains ownership of:
- Pre-existing code, frameworks, and development tools
- General methodologies and techniques
- The right to showcase completed projects in our portfolio
- Any improvements or modifications to our existing frameworks
Confidentiality
We respect the confidentiality of our clients' business information. TurtleSoft Solutions agrees to maintain strict confidentiality regarding all proprietary and sensitive information shared during the course of our engagement, except as required by law or with client consent.
Limitation of Liability
TurtleSoft Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our services.
Service Modifications and Termination
We reserve the right to modify or discontinue our services at any time without prior notice. Either party may terminate ongoing projects with written notice, subject to payment for work completed to date and any applicable termination fees as outlined in individual contracts.
Warranty and Support
TurtleSoft Solutions provides:
- A limited warranty period for bug fixes in delivered software
- Support services as outlined in individual service agreements
- Best effort resolution of technical issues within reasonable timeframes
- Documentation and training as specified in project contracts
Force Majeure
TurtleSoft Solutions shall not be held responsible for any failure or delay in performance under these terms which is due to fire, casualty, flood, earthquake, other acts of God, strikes, labor disputes, wars, government requirements, pandemics, or other causes that are beyond our reasonable control.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction in which TurtleSoft Solutions operates. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Changes to Terms
TurtleSoft Solutions reserves the right to modify these terms at any time. We will provide notice of any material changes by posting the new Terms and Conditions on this page. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
